Terms of Service
1. Acceptance of Terms
By accessing or using the Verinty platform at verinty.com or app.verinty.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
These Terms constitute a legally binding agreement between you (or the organisation you represent) and Verinty ABN 18 459 403 998 ("Verinty", "we", "us", "our"), a company incorporated in Victoria, Australia.
2. Description of Service
Verinty provides sovereign identity infrastructure and schema management services, including:
- Business identity verification against public registries (ABR, NZBN, and equivalents)
- Generation and hosting of verified JSON-LD schema payloads
- Sovereign Lock tokens for serving identity data to third-party platforms
- Website schema scanning, discovery, and audit tools
The Platform is currently provided in beta. Features may change, be added, or removed without notice.
3. Eligibility
You must be at least 18 years of age and have the legal authority to bind the organisation you represent. By using the Platform, you represent and warrant that these conditions are met.
4. Account Registration
You must register an account to access most Platform features. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your credentials and tokens
- All activity that occurs under your account
- Notifying us immediately of any unauthorised access at security@verinty.com
5. Acceptable Use
You agree not to use the Platform to:
- Submit false, misleading, or fraudulent business identity information
- Impersonate any person, business, or legal entity
- Scrape, harvest, or systematically collect data from the Platform beyond your authorised usage
- Circumvent, disable, or interfere with security features
- Use the Platform in a way that violates any applicable law or regulation
- Resell or sublicense Platform access without our written consent
6. Intellectual Property
Verinty retains all intellectual property rights in the Platform, including software, design, trademarks, and proprietary methodology. You retain ownership of the business data you provide to us.
By using the Platform, you grant Verinty a limited licence to process your data solely to provide the services described in these Terms and our Privacy Policy.
7. Verified Schema Data
Your verified JSON-LD schema payload is served publicly via our edge infrastructure when accessed with your Sovereign Lock token. This is the intended and authorised function of the service. You acknowledge that this data is publicly accessible by design.
You are solely responsible for ensuring that the business information you submit for verification is accurate and that you are authorised to publish it.
8. Fees and Billing
Some features of the Platform require a paid subscription. Fees are described on the Platform and may change with reasonable notice. All fees are in Australian Dollars (AUD) unless otherwise stated.
Subscriptions renew automatically unless cancelled before the renewal date. Refunds are at our discretion and will be considered on a case-by-case basis.
9. Availability and Uptime
We aim to provide reliable service but do not guarantee uninterrupted availability. The Platform is provided "as is" and "as available". We may perform maintenance, updates, or suspend the Platform at any time with or without notice.
10. Disclaimer of Warranties
To the maximum extent permitted by Australian law, the Platform is provided without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that registry data retrieved from third-party sources (including the ABR and NZBN) is complete, accurate, or current. Such data is provided by government registries and is outside our control.
11. Limitation of Liability
To the maximum extent permitted by law, Verinty's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total fees paid by you in the 12 months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.
Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence, or any liability that cannot be excluded under the Australian Consumer Law.
12. Indemnification
You agree to indemnify and hold harmless Verinty, its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any third-party rights.
13. Termination
Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Platform ceases and your data will be handled in accordance with our Privacy Policy.
14. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or a notice on the Platform. Continued use of Verinty after changes constitutes acceptance of the updated Terms.
